These Terms & Conditions govern your use of SkyLens SC, operated by Aerial Photo Imaging LLC (“we,” “us,” “our”). By accessing the platform, submitting a service request, or registering as a photographer, you agree to these terms in their entirety. Please read them carefully before using the platform.

You agree not to engage in any of the following prohibited activities. Violation may result in immediate termination of access and may give rise to civil or criminal liability:

Content License (User Submissions)

By submitting any content to the platform — including but not limited to photographer profiles, portfolio links, bios, specialty listings, lead descriptions, and reviews — you grant Aerial Photo Imaging LLC a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media or format, now known or hereafter developed.

This license is non-terminable after submission and survives any termination of your account or these terms. You represent and warrant that you have all rights necessary to grant this license and that the content does not infringe any third-party rights.

You retain ownership of your submitted content, but you acknowledge that Aerial Photo Imaging LLC may use it in connection with the platform’s operations, marketing, and business activities without further compensation to you.

SkyLens SC is a lead marketplace. Aerial Photo Imaging LLC does not employ, supervise, endorse, or certify any photographer listed on the platform. Photographers are independent service providers, not employees, agents, or contractors of Aerial Photo Imaging LLC.

Limitation of Liability

Consequential Damages Waiver
IN NO EVENT SHALL AERIAL PHOTO IMAGING LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF AERIAL PHOTO IMAGING LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY UNDER WHICH SUCH DAMAGES ARE SOUGHT.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AERIAL PHOTO IMAGING LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION: (A) ANY IMPLIED WARRANTY OF MERCHANTABILITY; (B) ANY IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE; (C) ANY IMPLIED WARRANTY OF NON-INFRINGEMENT; (D) ANY WARRANTY THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; AND (E) ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, TIMELINESS, OR COMPLETENESS OF ANY CONTENT OR INFORMATION AVAILABLE ON THE PLATFORM. YOUR USE OF THE PLATFORM IS ENTIRELY AT YOUR OWN RISK.

Indemnification

You agree to indemnify, defend, and hold harmless Aerial Photo Imaging LLC and its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

Aerial Photo Imaging LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with our defense of such claims.

Liquidated Damages

The parties acknowledge that actual damages for certain violations would be difficult to ascertain. Accordingly, you agree that the following liquidated damages are reasonable estimates of harm and not penalties:

These liquidated damages are in addition to, and do not limit, any other remedies available to Aerial Photo Imaging LLC under law or equity, including injunctive relief.

DMCA & Copyright Policy

Aerial Photo Imaging LLC respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512.

Takedown Notice Requirements

A valid DMCA takedown notice must include: (1) an electronic or physical signature of the copyright owner or authorized agent; (2) identification of the copyrighted work claimed to be infringed; (3) identification of the material to be removed with sufficient detail for us to locate it; (4) your contact information; (5) a statement that you have a good faith belief the use is not authorized; and (6) a statement under penalty of perjury that the information in the notice is accurate and you are authorized to act on behalf of the copyright owner.

Counter-Notice Procedure

If your content was removed due to a DMCA notice you believe was in error, you may submit a counter-notice to our DMCA Agent including: (1) your signature; (2) identification of the removed content and its prior location; (3) a statement under penalty of perjury that you have a good faith belief the content was removed in error; (4) your name, address, and phone number; and (5) consent to jurisdiction of the federal district court for your location. Upon receipt of a valid counter-notice, we may restore the content after 10–14 business days unless the complaining party seeks a court order.

Repeat Infringers

We will terminate accounts of users who are repeat copyright infringers in appropriate circumstances.

Interactive Computer Service / Section 230

SkyLens SC is an interactive computer service as defined by 47 U.S.C. § 230. Aerial Photo Imaging LLC is a passive conduit that provides a neutral platform for connecting consumers seeking photography services with independent photographers.

We do not create, edit, or take responsibility for content submitted by users — including photographer profiles, portfolio links, lead descriptions, reviews, or any other third-party content. Users are solely responsible for content they submit to the platform. We are not liable for any user-generated content, and we retain discretion to remove content that violates these terms without thereby assuming responsibility for content we do not remove.

Nothing in these terms shall be construed to treat Aerial Photo Imaging LLC as a creator, developer, or responsible party with respect to user-generated content for purposes of any federal, state, or local law.

Dispute Resolution & Binding Arbitration

Informal Negotiation (Required First Step)

Before initiating any arbitration or legal proceeding, you must first provide Aerial Photo Imaging LLC with written notice of your dispute (“Notice of Dispute”) by sending a letter to: Aerial Photo Imaging LLC, Garner Ln Unit 203, Columbia, SC 29210, or by email to info@aerialphotoimaging.com. The Notice of Dispute must describe the nature and basis of the claim and the relief sought. The parties agree to attempt in good faith to resolve the dispute informally for a period of thirty (30) days from the date of receipt of the Notice of Dispute before proceeding to arbitration.

Binding Arbitration

If the dispute is not resolved within 30 days through informal negotiation, you agree that any dispute, claim, or controversy arising out of or relating to these Terms & Conditions or the platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in Columbia, South Carolina, unless the parties agree otherwise. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Statute of Limitations

Any claim must be brought within the applicable statute of limitations under South Carolina law. No claim may be brought more than one (1) year after the claimant knew or should have known of the basis for the claim, to the extent permitted by law.

Exceptions

Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration. Claims for intellectual property infringement may be brought in court without first proceeding to arbitration.

Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND AERIAL PHOTO IMAGING LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING. IF THIS CLASS ACTION WAIVER IS FOUND TO BE UNENFORCEABLE, THEN THE ARBITRATION AGREEMENT IN SECTION 17 SHALL BE NULL AND VOID WITH RESPECT TO SUCH CLAIM, AND SUCH CLAIM SHALL PROCEED IN A COURT OF COMPETENT JURISDICTION. THE ENFORCEABILITY OF THIS WAIVER IS SUBJECT TO DETERMINATION SOLELY BY A COURT, NOT AN ARBITRATOR.

Termination

Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the State of South Carolina, United States of America, without regard to its conflict-of-law provisions. Subject to the arbitration agreement in Section 17, you consent to the exclusive jurisdiction of the state and federal courts located in Richland County, South Carolina for any disputes not subject to arbitration.

Severability

If any provision of these Terms & Conditions is held to be invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision or any other jurisdiction. The remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable, or, if such modification is not possible, severed from these terms.

The parties agree that the unenforceability of any provision shall not be grounds for terminating or avoiding the remaining provisions of these Terms & Conditions.

Feedback & Unsolicited Submissions

If you submit any feedback, ideas, suggestions, feature requests, or other submissions to Aerial Photo Imaging LLC (collectively, “Feedback”) — whether through the platform, email, social media, or any other channel — you hereby assign and grant to Aerial Photo Imaging LLC a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, distribute, and commercialize such Feedback without any obligation of compensation, attribution, or confidentiality to you.

You acknowledge that Aerial Photo Imaging LLC has no obligation to treat Feedback as confidential, to acknowledge receipt, or to implement any suggestion. By submitting Feedback, you represent that you have the right to do so and that the Feedback does not violate any third-party rights.
